There are two routes: appointing a proxy to attend, or attending through the Electronic General Assembly System (EGKS) under Article 1527 of the Turkish Commercial Code (No. 6102). For a joint-stock company, electronic attendance requires both a provision in the articles of association and the system actually being set up.

Where there are foreign shareholders, three things need planning from the outset: the form of the notice convening the meeting, the apostille and translation chain for the powers of attorney, and the language the meeting will be held in. Get those wrong and the resolutions taken are exposed to annulment, which is the real risk here rather than the inconvenience. We put the notice, proxy and minute arrangements in place and make sure resolutions satisfy Turkish law and the group’s own internal approval process at the same time, so shareholders can vote validly without travelling.
